AFFILIATE AGENT AGREEMENT

This agreement is entered by and between DLS Travel, located at 10 Viennas Stereet, 11744, Athens, Greece and the Affiliate whose name, state of formation or other identifying characteristic is set forth on the application page of this agreement ('Affiliate'), together referred to as 'parties'. If you accept the terms of this agreement you will have the opportunity to fill out the Affiliate Application page and submit it to us. We will evaluate your application and will notify you of acceptance.

DLS Travel and the Affiliate agree as follows:

1 Overview

1.1 DLS Travel operates a website as online reservation system for booking accommodation and other travel services (transfers, tickets, rental cars, tours, etc) for destination Greece. The Affiliate is a registered agency or corporation who can take advantage of our services to better service his customers' or employees' travel needs.

1.2 Upon sign up and application acceptance the Affiliate will be assigned a Userid and Password to the DLS Travel online reservation system and will be able to make reservations at wholesale prices and issue vouchers under his company trade name.

2 Service

2.1 The Affiliate is entitled to use the DLS Travel website in such a way as described in Terms of Use and request or make accommodation reservations on all available properties and services offered by DLS Travel receiving discounted, wholesale pricing and all special offers.

2.2 DLS Travel will offer all agreed services and local travel assistance for the Affiliate customers in accordance with the Website Terms of Use.

3 Payment terms

3.1 Full payment via credit card or cash transaction is required at least 3 days prior to check-in, otherwise the reservation will be automatically cancelled without warning.

3.2 In case of reservation cancellation due to non payment or otherwise, a cancellation fee might be charged according to the specific reservation Rules and Conditions as stated on the reservation itinerary.

3.3 In case of a special agreement where DLS Travel pays the Affiliate a commission, an invoice should be submitted by the Affiliate to DLS Travel and payment will be issued within 30 days of receipt of the invoice.

3.4 The Affiliate is an independent contractor for all purposes, and will be responsible for his own taxes, workmen's compensation and all other tax related matters.

4 Confidentiality

4.1 No intellectual property rights or any other material provided by one party to another in the execution of this agreement are transferred or assigned to the other party. All such rights are expressly reserved and retained by the respective owners.

4.2 Neither party will disclose any confidential information received from the other party during or in connection with this agreement. Confidential information includes any software or information regarding software provided or used by DLS Travel in connection with this agreement, as well as information regarding the DLS Travel business structure and pricing policies, information that is designated by either party as confidential, and any information that the other party reasonably could expect to be considered confidential.

5 Rights and obligations

5.1 DLS Travel is fully responsible for the DLS Travel Website and its contents. The DLS Travel Website will not contain any illegal information.

5.2 DLS Travel excludes any and all liability which is related to or a consequence of the use or (temporary) breakdown of the DLS Travel Website or parts thereof.

6 Term and termination

6.1 This agreement is effective as of the sign up by the Affiliate and the subsequent online confirmation by DLS Travel.

6.2 Each party may terminate this agreement at any time with immediate effect for any reason.

6.3 After the termination of this agreement the Affiliate is no longer entitled to use in whatsoever way any information which has been provided by DLS Travel to the Affiliate in respect of the execution of this agreement and any information which can be found at the DLS Travel Website.

6.4 The articles on liability, intellectual property and confidentiality will be applicable after termination of this agreement.

7 Website Terms of Use

7.1 All Website terms of use apply to the Affiliate and are included herein by reference.

8 Liability

8.1 This agreement is construed in accordance with the laws of the Greece. Any dispute that arises under or in respect with this agreement shall be submitted to the exclusive jurisdiction of the competent court in Athens.

8.2 Any notice under this agreement will be given to the statutory address of each party, either by email or by fax or regular mail.
